Introduction

Welcome to "The Morning Coffee Club", a service that brings together entrepreneurs and professionals with the general public (the "Service"). The Service is provided through the website at www.themorningcoffeeclub.com and through the relevant pages on social networks (the "Website").

The Service is managed and operated by The Morning Coffee Club company (a venture in formation) (the "Service Operator").

Your use of the Service, including the content it contains, constitutes your agreement to these terms and to any additional terms that appear in the Service, including the Privacy Policy and any further instructions or guidelines that may appear while you use the Service (together, the "Terms").

Please read the Terms carefully, as they define your rights and obligations in connection with your use of the Service and form a binding agreement between you and the Service Operator. Please note that the Terms may change as needed, so we recommend checking them from time to time. If you do not agree to the Terms, in whole or in part, you must refrain from using the Service.

The Hebrew original of these Terms is written in the masculine form, but it is of course intended for all genders.

The Service in brief

The Service is an online platform that helps bring together experienced entrepreneurs, managers, lawyers, accountants and other professionals who are experts in their fields (the "Experts") with the general public and, in particular, entrepreneurs who are just starting out (the "Entrepreneurs"). Entrepreneurs who wish to find an Expert can do so through the Service. The order in which Experts appear in the Service is usually set automatically and at random.

To arrange a meeting with an Expert, you must choose the Expert you would like to meet and click "Book a meeting". The meeting itself will be booked through the platform or through a third-party platform, such as Calendly or another platform that the Service Operator may choose from time to time. Your use of, and the information you enter into, a third-party platform such as Calendly are subject to that platform's terms of use and privacy policy. The Service Operator has sole discretion to decide which Experts will be available for meetings through the Service, for how long they will be displayed, their placement and design, and any other matter relating to how they are presented on the Website, including the removal of any content from the Service at its sole discretion.

Please note!

The Service Operator does not offer and/or provide the Experts' services. The Service is an online platform only, which allows Entrepreneurs to meet Experts in various fields. Accordingly, all responsibility for holding the meeting, the content of the meeting, any information you provide during the meeting and any advice given during the meeting rests solely with you. The Service Operator and/or the Experts do not provide professional advice of any kind, and any information given to you during a meeting is provided on a voluntary basis. You rely on such information at your own risk.

The information about the Experts published on the Website comes from the Experts, not from the Service Operator. The Service Operator is not a party to any engagement between Entrepreneurs and Experts, and any such engagement is made directly between the Expert and the relevant Entrepreneur. The Service Operator does not supervise the meetings and/or the information presented by the Experts or its accuracy. Responsibility for the information, its quality and reliability, and for the Experts' services, rests entirely with you.

The Service Operator encourages you to treat information provided to you by Experts in your meeting with care and a critical eye. Such content is not a substitute for professional advice or treatment where these are required. At times, this content reflects a particular personal approach or opinion of its author and should therefore be treated with appropriate caution. We make every effort to ensure that the information and content we present to you is reliable and accurate, but we cannot guarantee it.

Confidentiality and non-competition

Please note that any meeting you hold through the Service is not covered by a confidentiality or non-competition agreement. You should therefore consider carefully what information you disclose to Experts. The Service Operator and/or the Experts will not be liable for any use of information you provided, whether in writing or orally.

Using the Service

Whether you are an Expert, an Entrepreneur or any other user, you may use the Service and the features it offers in accordance with the rules set out below and the other provisions of the Terms. You may not use the Service in any other way unless you have received the Service Operator's express consent to do so, in advance, in writing, and subject to the conditions of that consent (if given):

You may not make any use of or through the Service that constitutes or may constitute a criminal offense or civil wrong under any law, and/or that infringes the rights of any third party (including sexual harassment);
You may not copy and use, or allow others to copy and use, content from the Service in any other way, including on other websites, in apps, in electronic publications, in print publications and the like, for any other purpose;
You may not harass people through the Service (Entrepreneurs and/or Experts), whether by booking a large number of meetings or by sending a large number of messages to an Expert or Entrepreneur, as the case may be;
You may not behave in an offensive or inappropriate manner in meetings, including recording the content of meetings or photographing the meeting and/or those present, without the consent of everyone present at the meeting;
You may not cancel a meeting without giving the relevant Expert reasonable advance notice;
If the Website has a code of ethics, you must comply with it;
You may not use any means to circumvent, disable or overcome the Service's security mechanisms, and you may not harm or interfere in any way with the proper operation of the Service;
You may not run, or allow others to run, any computer application or other means, including crawlers, robots and the like, to search, scan, copy or automatically retrieve content from the Service. This includes creating or using any such means to build a collection, compilation or database containing content or information from the Service;
You may not display content from the Service within a frame, whether visible or hidden;

The Service Operator may block and/or prevent your use of the Website if you breach these Terms, and in particular if you make improper use of the Website and/or the Service.

Marketing emails and notices

Your use of the Service and your acceptance of the Terms constitute your express consent to receive advertising messages from the Service Operator and/or anyone on its behalf, as such consent is defined in Section 30A of the Israeli Communications (Telecommunications and Broadcasting) Law, 5742-1982. Advertising messages will be sent to you using the information you provided to the Experts and/or to the Service Operator while using the Service, or in any other case in which you provided your details to the Service Operator and/or to the Experts, such as through the meeting booking forms on the Website (including on Calendly) or the contact forms included in the Service.

You may withdraw your consent at any time and notify the Service Operator that you refuse to receive advertising messages, in general or of a particular type, by sending a notice of refusal. How to send a notice of refusal will be explained in the advertising messages sent to you by the Service Operator and/or anyone on its behalf. The Service Operator may also use the details you provided to send you newsletters that are not advertising messages, and to conduct surveys, questionnaires and the like.

Registering for the Service

Using the Service and viewing its content do not require registration or providing identifying details. However, if you wish to book a meeting through the Website, you will need to provide personal details by registering on the Website and/or on a third-party platform, such as Calendly or another platform, at the Service Operator's discretion.

Minors

Use of the Service is permitted only to users aged 18 and over. By registering for the Service, you confirm and declare that you are 18 or older. If you are under 18, you may use the Service only with the consent of your parents or legal guardian, and their approval of the binding agreements after they have read them carefully.

Paid services

Use of the Service involves payment. Technical cancellation of a meeting through the system is possible up to 6 hours before the meeting. The commitment fee (starting from ₪25) is non-refundable in the event of cancellation.

For a paid consultation meeting, the cancellation terms and refund policy are as follows: 1. Refunds for cancellations will be made in accordance with the law. 1.1 The law allows a transaction for a one-time service made through a distance sale to be canceled, provided that the cancellation is made within 14 days of receiving the disclosure document, and no later than two days (excluding rest days) before the date set for receiving the service (not including the day of the transaction and the day set for the service). 2. Refunds for purchases made by credit card: 2.1 Paid by credit card: the charge will be canceled with the consumer's credit card company. The credit is subject to the credit card company's policy. 2.2 Paid by credit card and the business has already been credited: the amount will be refunded in cash or by bank check, or the business will notify the consumer's credit card company to credit the consumer immediately. 3. If a consultation meeting is canceled by the advisor, a full refund will be given, even if more than 14 days have passed since the transaction and even if fewer than two days remain before the date set for the service.

To reschedule a meeting, you can change the date through the system, provided that the advisor has availability in their calendar. In any case, you should contact the relevant advisor directly to make sure the new time is suitable, known to and agreed by both sides.

In any case of cancellation or rescheduling, make sure the advisor has received the cancellation or rescheduling notice personally, by message or by phone.

The Service Operator reserves the right to charge for providing the Service, or for any other future service that will form part of the Service. In that case, the payment details for each service and the method of charging will be published in advance on the relevant pages of the Service.

Links

You will find links in the Service to various pages on the internet, including links to information about the Experts, to the Experts' pages on social networks, and more. The links allow you to find content published on the internet. Such content is usually not published by or on behalf of the Service Operator, and the Service Operator does not control or supervise it. The fact that the Service links to such content does not indicate the Service Operator's agreement with it and does not guarantee its reliability, timeliness, legality, the privacy practices of its owners, or any other aspect of it. You may find that such content does not suit your needs, or that you object to it or consider it outrageous, annoying, inappropriate, illegal or immoral. The Service Operator is not responsible for the content that the links lead to, and is not responsible for any consequence of using or relying on it.

The Service Operator does not undertake that the links in the Service will work and lead you to an active web page, and it may remove links that were previously included in the Service, or refrain from adding new links, all at its absolute discretion.

Privacy

The Service Operator respects your privacy when you use the Service. The Service's Privacy Policy is an integral part of the Terms. As the Privacy Policy may change from time to time, we recommend that you review it periodically.

Commercial content

The Service Operator may, at its sole discretion, place commercial content in the Service, such as advertisements and notices provided for publication on behalf of various advertisers who wish to offer products or services for sale, including information from supporters and sponsors that may be commercial in nature.

The Service Operator will not bear any responsibility for commercial content published in the Service on behalf of third parties. The Service Operator does not write, check, verify or edit the content of these publications or their accuracy. Sole responsibility for the commercial content, and for any consequence of using or relying on it, rests with the advertisers. The publication of commercial content in the Service does not constitute a recommendation or encouragement to purchase the services, assets or products offered for sale in it.

Any transaction made as a result of commercial content published in the Service will be concluded directly between you and the relevant advertiser. The Service Operator is not a party to any such transaction and will not be responsible for services and goods offered in commercial content in the Service or purchased through it.

Intellectual property

All intellectual property rights, including copyright, in the Website, in the services offered on it, and in all content it contains (except content submitted for publication by you and by other users of the Service) belong solely to the Service Operator, or to other third parties who have permitted the Service Operator to use them. You may not copy, distribute, publicly display, publicly perform, broadcast, make available to the public, modify, adapt, create derivative works from, sell or rent any part of the above, whether by yourself or through or together with a third party, in any way or by any means, whether electronic, computerized, mechanical, optical, photographic or recording, or by any other means, without the prior written consent of the Service Operator or the other rights holders, as the case may be, and subject to the conditions of that consent (if given).

Advertisers' trademarks and advertisements in the Service (if any) are the property of those advertisers only. You may not use them either without the advertiser's prior written consent.

Liability

Wherever the binding documents set out the Service Operator's liability, this also refers to the liability of its employees, managers and anyone acting on its authority or on its behalf.

Use of the Website and of any content or service it contains is at your sole and full responsibility, and the Service Operator will not be liable for any direct or indirect damage caused to you or anyone on your behalf, or to any other third party, including any loss, damage or expense related to or arising, directly or indirectly, from the Website and any content and service it contains.

The content and the Service are provided for use as is (AS IS). They cannot be tailored to the needs of each and every person. You hereby confirm that you have reviewed the Service and found it suitable for your needs and purposes. You will have no claim, suit or demand against the Service Operator regarding the characteristics of the content and the Service, their capabilities, their limitations, the rules that apply to them, or their suitability for you and your needs.

Any decision you make regarding information you received from Experts is your full and sole responsibility. The Service Operator does not undertake that the information about the Experts will be complete, correct, lawful or accurate, or that it will meet your expectations and requirements. The Service Operator will bear no responsibility for any consequence arising from a meeting with an Expert, from the use of information provided to you or to the Expert, or from reliance on such information. Use of the Service is at your own risk.

The Service Operator does not undertake that the Service's services and content will be uninterrupted, provided regularly or without interruptions, run securely and without errors, or be immune from unauthorized access to the Service Operator's computers or from damage, malfunctions, faults or failures, whether in hardware, software, communication lines and systems, at the Service Operator or at any of its suppliers.

The Service Operator will not be liable for any damage resulting from the loss of your details or the information in your account, or from corruption of such details, whether in full or in part, as a result of a failure in your computer systems or those of the Service Operator or anyone on its behalf.

Indemnification

You undertake to indemnify the Service Operator, its employees, managers or anyone on its behalf for any damage, loss, loss of profit, payment or expense they incur, including legal fees and costs, as a result of a breach of these Terms of Use or any of the Terms. In addition, you will indemnify the Service Operator, its employees, managers or anyone on its behalf for any claim, suit or demand brought against them by any third party as a result of content you submitted for publication in or through the Service, as a result of links you made or provided, or as a result of any other use you made of the Service.

Changes to the Service and discontinuation

The Service Operator may change from time to time the structure, look and design of the Service, the scope and availability of the services and content in it, and any other aspect of the Service, all without having to notify you in advance. Such changes will be made, among other things, in light of the dynamic nature of the internet and the technological and other changes taking place in it. By their nature, changes of this kind may involve faults or cause some initial inconvenience and the like. You will have no claim, suit or demand against the Service Operator for making such changes or for faults that occur while they are made.

Without derogating from the above, the Service Operator may at any time discontinue the Service, in whole or in part, temporarily or permanently. The Service Operator may also suspend activity on the Service from time to time for maintenance, repairs, upgrades and improvements. The Service Operator will do its best to minimize the periods during which the Service is not active. Where possible, the Service Operator will publish a notice in the Service about the discontinuation of services a reasonable time in advance, but it is not obliged to do so. Upon discontinuation of the Service, the Service Operator will keep the content included in the Service for a further reasonable period, after which it may delete it without keeping any backup and without giving further notice.

Changes to the binding documents

The Service Operator may change these Terms of Use and any of the Terms from time to time. Where possible, and if material changes are made to these Terms of Use or to the binding documents, a notice will be published on the Website's home page. Links to the binding documents placed in the Service will always link to the current version of the Terms. Your continued use of the Service after the updated Terms are published constitutes your agreement to them. If you do not agree with the new provisions of the binding documents, you must stop using the Service entirely.

Governing law and jurisdiction

The laws of the State of Israel alone will apply to the use of the Website and the Service. The exclusive place of jurisdiction for any matter arising from the Terms is the competent courts of the Tel Aviv district, Israel.

Assignment

If the Service Operator transfers its rights and obligations in relation to the Service, or any part of them, to a third party, it may also assign its rights and obligations under the Terms, in whole or in part. You may not assign any right or obligation under the Terms, and you may not pledge, transfer, mortgage, lend or grant any rights in any of these to any third party. Any act or omission contrary to the above is void.
